3. User Eligibility

By using our Site and services, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using our services under applicable laws

• You will not directly hire temporary workers without going through our conversion process
• Payment terms are as specified in your service agreement (typically Net 15 for temporary staffing)
• You will comply with all employment laws and regulations

6. Candidate Terms

If you are a job candidate using our services, the following additional terms apply:

• You authorize us to conduct background checks and verify your employment history
• You consent to the sharing of your information with potential employers
• You will notify us promptly of any changes to your availability or employment status
• You understand that registration does not guarantee job placement
• You agree to comply with client workplace policies during assignments

7. Fees and Payment

Our fee structure is clearly disclosed on our Pricing page and in individual service agreements. Key payment terms include:

• Temporary staffing: Billed based on hours worked plus agreed markup rate
• Permanent placement: Fee due upon successful hire as specified in agreement
• Payment terms: As specified in your service agreement
• Late payments may be subject to interest charges
• All fees are exclusive of applicable taxes unless otherwise stated

8. Guarantees and Replacements

We stand behind the quality of our placements:

• Temporary staffing: Same-day or next-day replacement if a worker does not meet expectations
• Permanent placement: 90-day guarantee period with free replacement or prorated refund
• Guarantees are subject to the terms specified in your service agreement

9. Intellectual Property

All content on our Site, including text, graphics, logos, images, and software, is the property of Staffing Experts or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our liability for any claim arising from our services shall not exceed the fees paid by you in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We do not guarantee the performance of any placed worker beyond our stated guarantee periods
• We are not responsible for employment decisions made by our clients

11. Indemnification

You agree to indemnify and hold harmless Staffing Experts and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, NY. Each party shall bear its own costs unless the arbitrator determines otherwise.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our Site. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
